Terms of Service
The terms governing use of Seraph, the academic-clinical operating system for university dental faculties.
Institutional Platform Notice: These terms govern your use of Seraph, an enterprise academic-clinical platform operated by Tomorrow S.A.R.L. and provided to university dental faculties and academic dental institutions. By using the platform, your institution and its authorized users agree to comply with these terms and all applicable academic, professional, and data-protection obligations.
1. Acceptance of Terms
By accessing or using Seraph, you agree to be bound by these Terms of Service and our Privacy Policy. If you do not agree to these terms, please do not use the platform. Where Seraph is provided to an institution under a separate Service Agreement, that agreement governs in the event of any conflict with these terms.
2. Description of Services
Seraph is a governed operating system for academic dental institutions that connects academic governance, clinical operations, student progression, patient care, supervision and approvals, scheduling, reporting, and leadership oversight in one platform. The platform may include:
- Academic clinic scheduling and appointment management
- Live clinic operations, supervision, and approval workflows
- A governed catalogue of procedures, rules, services, and clinical workflows
- Leadership dashboards and institutional reporting
- Seraph AI assisted documentation and case-simulation training support
- Related implementation, configuration, and support services
3. User Responsibilities
Academic Institutions
Institutions using Seraph agree to:
- Use the platform for legitimate academic, clinical, and administrative purposes
- Provision, supervise, and govern user access appropriately by role
- Maintain institutional compliance with applicable academic and professional regulations
- Protect the privacy of student records, staff data, and patient information
Supervisors, Faculty & Students
Authorized users agree to:
- Maintain appropriate licenses, credentials, and academic standing as applicable
- Use the platform in accordance with institutional policy and professional standards
- Exercise independent clinical and academic judgment at all times
- Keep credentials confidential and not share or transfer access
4. Acceptable Use
You may not use the platform to:
- Violate any applicable laws, regulations, or institutional policies
- Interfere with or disrupt the platform, its infrastructure, or other users
- Attempt to gain unauthorized access to systems or data
- Share login credentials or allow unauthorized access
- Upload malicious code or harmful content
- Treat assisted recommendations as the sole basis for clinical decisions
5. Supervision & Clinical Decision-Making
Important: Seraph supports academic supervision, documentation, and training. Its assisted intelligence features are advisory and educational only. They do not make autonomous clinical decisions and do not replace the judgment of qualified supervisors and clinicians.
Users acknowledge that:
- Assisted recommendations are advisory and require human oversight
- Clinical and academic decisions rest with qualified supervisors and clinicians
- Patient safety and care quality remain the responsibility of the institution and its supervising staff
- The platform is not intended for emergency or life-critical decision-making
6. Data and Privacy
Our handling of data is governed by our Privacy Policy and any applicable Service Agreement. Key principles include:
- Protection of student, staff, and patient information
- Secure data storage and transmission
- Data sharing limited to what is necessary to provide the platform
- Institutional control over data retention and deletion
7. Intellectual Property
Tomorrow S.A.R.L. retains all rights to the Seraph platform, its software, and proprietary technologies. Users receive a limited, non-transferable license to use the platform and may not:
- Copy, modify, or reverse engineer the software
- Create derivative works based on the platform
- Remove or alter proprietary notices
- Use the platform or its components to build a competing service
8. Service Availability
We aim to maintain high availability but cannot guarantee uninterrupted access. Access may be temporarily suspended for:
- Scheduled maintenance and updates
- Emergency repairs or security measures
- Compliance with legal requirements
- Network or infrastructure issues beyond our control
9. Limitation of Liability
To the maximum extent permitted by law, Tomorrow S.A.R.L. shall not be liable for:
- Indirect, incidental, or consequential damages
- Clinical, academic, or patient-care decisions made by institutions or their staff
- Data loss arising from user error or events beyond our reasonable control
- Business or operational interruption
- Damages exceeding the amount paid for the platform under the applicable agreement
10. Institutional & Professional Responsibility
Institutions and their authorized users acknowledge that:
- They maintain their own professional liability coverage where applicable
- Tomorrow S.A.R.L. does not provide professional or malpractice insurance
- Clinical and academic activity remains within the relevant scope of practice
- They will follow their institution's policies and procedures
11. Termination
Either party may terminate service with appropriate notice as set out in the applicable agreement. We may suspend access where:
- These terms are violated
- Payment obligations are not met
- Illegal or harmful activity is detected
- Suspension is required to comply with a legal order
12. Updates and Changes
We may update these terms periodically. Significant changes will be communicated via email or platform notifications. Continued use after changes take effect constitutes acceptance of the updated terms.
13. Governing Law
These terms are governed by the laws applicable to Tomorrow S.A.R.L., without regard to conflict-of-law principles. Specific governing law and dispute-resolution terms may be set out in your institution's Service Agreement.
